Terms of Use
The terms that govern your access to and use of Kippsie.

THIS TERMS OF USE AGREEMENT (the “Agreement”) constitutes a legally binding agreement between Kippsie (“Kippsie,” “we,” “us,” or “our”) and the users of its AI thumbnail-generating tool for freelancers (the “Users”), regarding access to and use of the AI tool (the “Tool”) and any other media form, channel, website, platform, or application related, linked, or otherwise connected thereto.
This Agreement sets forth the legally binding terms and conditions governing the Users’ use of the Tool. Failure to agree with and adhere to all terms, conditions, and obligations herein may result in the immediate termination of the User’s access to the Tool and the cessation of this Agreement.
Intellectual Property Rights
Unless otherwise indicated, the Tool and all content, features, software, branding, design elements, interfaces, graphics, logos, and computer code related to the Tool (collectively, the “Content”) are owned, controlled, or licensed by Kippsie. The Content is protected by copyright, trademark, and other intellectual property rights and laws.
Except as expressly provided in this Agreement, no part of the Tool and no Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without Kippsie’s express prior written consent.
User Responsibility for Copyrighted Content
In using the Tool to create projects, Users must respect intellectual property rights and ensure all content, including images, text, logos, likenesses, references, and other materials, complies with legal requirements. Users are solely responsible for avoiding the unauthorized use of copyrighted materials, trademarked logos, celebrity likenesses, brand assets, famous artwork, or any proprietary content.
Kippsie is not liable for the inclusion of such materials in Users’ projects. It is the User’s responsibility to ensure they have the necessary rights or licenses for any third-party assets used. In case of legal issues arising from the use of copyrighted or proprietary materials, the User agrees to indemnify and hold harmless Kippsie against any claims, damages, expenses, or liabilities.
Ownership of Materials
All original content created by the Tool at the request of the User, including but not limited to customized thumbnails, images, graphics, and related outputs (“Projects”), shall be the exclusive property of the User, subject to applicable law and the User’s compliance with these Terms.
However, Kippsie retains a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use such Projects for operating, maintaining, improving, marketing, researching, developing, and supporting the Tool and related business purposes. This includes the right to modify, reproduce, distribute, display, analyze, and perform such Projects unless otherwise agreed by Kippsie in writing.
Third-Party Assets Responsibility
In the event that any Project created using the Tool incorporates third-party assets not owned by Kippsie, such as fonts, images, logos, or other materials requiring a commercial license for lawful use (“Third-Party Assets”), it is the sole responsibility of the User to ensure that they have obtained all necessary licenses and rights to use those Third-Party Assets.
The User agrees to comply with any terms and conditions associated with those Third-Party Assets. Kippsie explicitly disclaims any responsibility or liability for the legal use of Third-Party Assets incorporated into Projects by the User. In case of any legal issues or claims arising from the use of Third-Party Assets, the User agrees to indemnify and hold harmless Kippsie against any claims, damages, expenses, or liabilities.
User Representations
By using the Tool, Users affirm that they have the legal capacity and authority to enter into this Agreement and to comply with all terms herein. Users represent that they are not minors in their jurisdiction of residence, or otherwise do not use the Tool where doing so would be prohibited by applicable law.
Users further represent that they will not access the Tool through any automated, non-human means, whether through a bot, script, scraping system, or otherwise, unless explicitly authorized by Kippsie. Users further covenant that their use of the Tool will not involve any illegal or unauthorized purpose and will not violate any applicable law or regulation.
Prohibited Activities
Users are strictly prohibited from using the Tool for any purpose other than as intended by Kippsie. The Tool shall not be used for commercial endeavors unrelated to the services provided by Kippsie.
Users agree to refrain from engaging in prohibited activities, which include but are not limited to:
Unauthorized access to the Tool.
Using the Tool to create or disseminate content that is illegal, fraudulent, infringing, hateful, offensive, abusive, or deceptive.
Data mining, scraping, or automated extraction of data or outputs.
Interference with the Tool’s security features or technical protections.
Unauthorized linking or framing to the Tool.
Engaging in fraudulent or deceptive billing or account practices.
Disrupting the operations, infrastructure, or network of Kippsie.
Competing with Kippsie by copying, cloning, or reverse engineering the Tool.
Attempting to decipher, decompile, disassemble, or reverse engineer any software comprising the Tool, except where prohibited by applicable law.
Bypassing measures Kippsie may use to prevent or restrict access to the Tool.
Harassing or threatening Kippsie’s employees, contractors, agents, or representatives.
Removing copyright or proprietary notices from any content.
Uploading or transmitting viruses or other harmful, disruptive, or destructive files.
User Feedback
Any and all feedback, comments, suggestions, ideas, enhancement requests, recommendations, or other information provided by Users in connection with the Tool (“Feedback”) shall be solely owned by Kippsie. Users hereby assign to Kippsie all rights in the Feedback and agree that Kippsie shall have the right to use and fully exploit such Feedback and related information in any manner it deems appropriate.
Kippsie is under no obligation to maintain any Feedback in confidence, to pay compensation for any Feedback, or to respond to any Feedback.
Management and Oversight
Kippsie reserves the right to monitor and supervise use of the Tool to ensure compliance with these Terms of Use. Kippsie may, at its sole discretion, restrict access to the Tool, suspend accounts, remove content, take legal action against anyone who violates the terms of this Agreement, and cooperate with law enforcement authorities in prosecuting Users who violate the law.
Privacy Policy
By agreeing to these Terms of Use, Users acknowledge and consent to the collection and use of their information as outlined in Kippsie’s Privacy Policy. Users accessing the Tool from different jurisdictions do so at their own risk and are responsible for compliance with local laws applicable to online conduct, acceptable content, and data transmission.
Refunds Policy
All purchases on Kippsie are final. We do not offer refunds for subscriptions or additional credit purchases, including monthly plans, yearly plans, and one-time credit top-ups, unless otherwise required by law.
Because Kippsie may deliver instant value and immediate access to digital services, we keep our billing policy simple with a no-refund approach. This helps us reduce abuse and focus on improving the platform for active users.
Subscriptions may be canceled at any time through the customer portal, and Users will retain access to the platform and any eligible remaining credits until the end of the current billing cycle, unless the account is terminated under these Terms.
Chargebacks
Filing a chargeback or payment dispute with your bank or card issuer may result in immediate account termination without refund for the remaining subscription period. Any unused credits may be forfeited. If you have a billing concern, please contact us at support@kippsie.com before initiating a dispute and we will try to resolve it promptly.
Promotional Offers
Kippsie may periodically offer promotional subscription deals, discounts, free trials, or special launch offers. These offers are subject to the following conditions:
Eligibility: Promotional offers are available only to new users or as otherwise specified at the time of the offer.
Abuse Prevention: Kippsie reserves the right to monitor usage for abuse. Any activity deemed misuse, such as creating multiple accounts or attempting to circumvent offer restrictions, may result in immediate cancellation without refund.
Modification or Termination: Kippsie reserves the right to modify, suspend, or terminate any promotional offer at any time without prior notice.
Termination
Kippsie reserves the right to terminate or suspend any User’s account, subscription, and access to the Tool at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include, but are not limited to:
Violation of these Terms of Use.
Fraudulent, abusive, or illegal activity.
Non-payment of fees.
Kippsie’s sole discretion for platform safety, legal, or business reasons.
Upon termination:
Access to the Tool will cease immediately.
Any unused credits, whether purchased or accumulated, may be forfeited.
User-generated content may be deleted at Kippsie’s discretion, subject to legal obligations and internal retention policies.
Credit Reset and Rollover Option
Kippsie may offer a credit system to help Users access certain features of the Tool. By default, allocated credits may reset on the subscription renewal date. Unused credits do not carry over to the next billing period unless a rollover feature or another exception is expressly offered at checkout or in the User’s plan.
If Kippsie offers a credit rollover option, unused credits may accumulate and remain available only while the relevant subscription remains active. All credits, whether rolled over or allocated periodically, require an active subscription unless otherwise stated by Kippsie.
Credit Tier Rewards
Kippsie may, from time to time, offer tier-based or loyalty-based credit rewards for certain plans. Any such rewards, plan-specific credit allocations, monthly increases, yearly multipliers, or promotional credit schedules shall be governed by the pricing and plan details displayed on the Kippsie website at the time of purchase.
Kippsie reserves the right to modify or discontinue any credit tier system at any time. If a subscription is canceled and later renewed, the applicable credit tier structure may reset unless otherwise stated at checkout or in the plan terms.
Modification of Terms and Tool
Kippsie reserves the right, at its sole discretion, to modify, alter, or otherwise update these Terms of Use and the Tool at any time. Such modifications shall become effective upon posting unless otherwise stated. Users agree to review these Terms periodically, and continued access to or use of the Tool after any modification constitutes acceptance of the updated Terms.
Connection Interruptions
Kippsie does not warrant that the Tool will be uninterrupted, secure, or error-free and acknowledges that hardware, software, third-party services, maintenance, or other technical problems may result in interruptions, delays, or loss of data. In no event shall Kippsie be responsible for any loss, damage, or inconvenience suffered by Users due to interruptions or lack of availability of the Tool.
Governing Law
These Terms and any action related thereto shall be governed by and construed in accordance with the laws applicable to Kippsie’s operating jurisdiction, without giving effect to any choice or conflict of law provision or rule. You should replace this section with your actual governing law before publishing.
Legal Jurisdiction
Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Tool shall be instituted exclusively in the courts having jurisdiction over Kippsie’s operating jurisdiction, unless otherwise required by applicable law. You should replace this section with your actual court jurisdiction before publishing.
Disclaimer
The Tool is provided on an “as is” and “as available” basis. Kippsie expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Kippsie makes no warranty that the Tool will meet Users’ requirements or that the Tool will be uninterrupted, timely, secure, or error-free.
Limitations of Liability and Indemnification
To the fullest extent permitted by law, Kippsie, its operators, employees, contractors, partners, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, revenue, data, business opportunity, goodwill, or other intangible losses, resulting from Users’ access to or use of, or inability to access or use, the Tool.
Users agree to defend, indemnify, and hold harmless Kippsie and its affiliates, licensors, service providers, employees, contractors, agents, officers, and representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses, including legal fees, arising from or relating to:
Their use of and access to the Tool.
Their breach of these Terms of Use.
Their violation of any law or third-party right.
User Data
Users are solely responsible for the data they transmit, upload, or generate through the Tool and for any activity they undertake using the Tool. Kippsie is not responsible for the loss, corruption, deletion, or failure to store such data, and Users waive any right of action against Kippsie arising from such loss or corruption, to the extent permitted by law.
Electronic Communications, Transactions, and Signatures
Users consent to receive electronic communications from Kippsie and agree that all agreements, notices, disclosures, and other communications that Kippsie provides electronically, whether via email, in-product notices, or through the Tool, satisfy any legal requirement that such communication be in writing.
Users further agree to the use of electronic signatures, contracts, orders, and other records and to electronic delivery of notices, policies, and records of transactions initiated or completed by Kippsie or through the Tool.
Showcasing Work
Kippsie reserves the right to display, showcase, or use for marketing purposes any work created using the Tool, unless otherwise agreed in writing with the User.
Referrals
If Kippsie offers a referral or affiliate program, referral tracking and payouts may be handled through one or more third-party partners designated by Kippsie. The specific provider, if any, will be communicated on the Kippsie website or in the applicable referral program terms.
Third-Party Partnerships
Certain functions of the Tool, including payments, analytics, referrals, hosting, support, authentication, or other operational services, may be managed through third-party partners. Users acknowledge that these partners may have access to certain necessary data to perform those services and agree to such access as part of their use of the Tool.
Miscellaneous
These Terms of Use, together with any amendments and any additional agreements Users may enter into with Kippsie in connection with the Tool, constitute the entire agreement between Users and Kippsie regarding the Tool.
The failure of Kippsie to enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. If any provision of these Terms of Use is held to be invalid or unenforceable by a court, the remaining provisions shall remain in full force and effect.
